Terms of Service
The terms that govern your use of the Trans-System International Company website and our consulting, software, railroad technology, and FFL Class 07 manufacturing services.
These Terms of Service ("Terms") form a binding agreement between you ("you", "your", "Client") and Trans-System International Company, a Texas company located at 174 Duke Trail, Weatherford, Texas 76088 ("TSI", "we", "us", "our"). By accessing this website, contacting us, or engaging TSI for services, you agree to these Terms. If you do not agree, do not use the website or our services.
1. Eligibility & Age Restriction
You must be at least 18 years of age to access this website. Certain pages, products, or transactions — including those involving firearms, ammunition, or controlled equipment — require you to be at least 21 years of age and to satisfy all applicable federal, state, and local eligibility requirements. TSI holds Federal Firearms License 5-75-367-07-6M-25045 and operates in compliance with the Bureau of Alcohol, Tobacco, Firearms and Explosives ("ATF") regulations.
2. Services Description
TSI provides four integrated practice areas:
- IT Consulting — managed IT, cybersecurity, cloud, backup, network, data recovery, strategic technology consulting, and AI services.
- Software Development — custom business applications, Odoo deployment and integrations, APIs, EDI, data migration, automation, QA, and DevOps services.
- Railroad Technology — train scheduling, blocking, service scheduling, EDI 161 Trainsheet, 418J interline messaging, and railroad QA & testing services for Class 1 and Shortline carriers.
- FFL 0702 Services — small-batch precision manufacturing, customer transfers, electronic bound book, ITAR/EAR compliance, ATF Form 4473 processing, and FFL consulting, operating under FFL 5-75-367-07-6M-25045 and subject to ITAR and EAR.
Specific deliverables, fees, timelines, and acceptance criteria are set out in a separate written Statement of Work or Service Order for each engagement. In the event of a conflict between these Terms and a signed Statement of Work, the Statement of Work controls.
3. User Conduct
You agree NOT to:
- Use the website or services for any unlawful purpose or in violation of any federal, state, or local law.
- Submit false, misleading, or fraudulent information.
- Attempt to gain unauthorized access to our systems, networks, or accounts; probe or scan for vulnerabilities; or interfere with normal operation of the website.
- Use any automated means (bots, scrapers, crawlers beyond search-engine indexing) to access the site or extract data.
- Reverse-engineer, decompile, or attempt to derive source code from any TSI software product.
- Use the site to harass, threaten, defame, or otherwise harm any person.
4. Intellectual Property
All content on this website — including logos, text, graphics, software, designs, and trade dress — is owned by TSI or licensed to TSI and is protected by United States and international copyright, trademark, and other intellectual-property laws. You may view and print pages for your personal, non-commercial use only. No other use is granted by these Terms.
Deliverables produced under a Statement of Work are governed by the ownership and licensing terms of that Statement of Work.
5. Third-Party Services
Our services and website may integrate with third-party providers including, without limitation: FastBound (electronic bound book), NICS / FBI E-Check (background checks), FluidPay (payment processing), Flowroute (SMS messaging), Microsoft 365 (email), and Odoo (business platform). Your use of these services is subject to the third party's own terms and privacy policies. TSI is not responsible for the acts, omissions, or availability of any third-party service.
6. ITAR, EAR & FFL Compliance
Certain products, services, and information offered by TSI are controlled under the International Traffic in Arms Regulations (ITAR, 22 C.F.R. Parts 120-130) or the Export Administration Regulations (EAR, 15 C.F.R. Parts 730-774). You represent and warrant that you will not access, download, export, re-export, transfer, or disclose any controlled item or technical data to any person or country in violation of those regulations. You further represent that you are not a person to whom export is prohibited under applicable U.S. law.
7. Disclaimers
THE WEBSITE AND SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, TSI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the website will be uninterrupted, error-free, secure, or free from viruses or other harmful components. Your use is at your own risk.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY TEXAS LAW, TSI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE WEBSITE OR SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO TSI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100). IN NO EVENT SHALL TSI BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9. Indemnification
You agree to defend, indemnify, and hold harmless TSI, its officers, directors, employees, and agents from any claim, demand, loss, damage, or expense (including reasonable attorneys' fees) arising out of or related to (a) your violation of these Terms, (b) your violation of any law or third-party right, (c) your use of the website or services, or (d) any misrepresentation made by you to TSI.
10. Force Majeure
TSI shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, severe weather, fire, flood, pandemic, war, terrorism, civil unrest, labor actions, supply-chain disruption, internet or telecommunications failure, or government action.
11. Governing Law & Venue
These Terms shall be governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. The exclusive jurisdiction and venue for any dispute not subject to arbitration shall be the state and federal courts located in Parker County, Texas, and you consent to personal jurisdiction in those courts.
12. Dispute Resolution
Before initiating any formal legal action, you agree to attempt to resolve disputes informally by contacting us at info@trans-sysintl.com with a written description of the dispute. The parties shall negotiate in good faith for at least thirty (30) days. If the dispute remains unresolved, either party may pursue available legal remedies subject to Section 11 (Governing Law & Venue).
13. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to be enforceable.
14. Entire Agreement & Changes
These Terms, together with any Statement of Work or Service Order between you and TSI, and our Privacy Policy and SMS Disclosure, constitute the entire agreement between you and TSI concerning the website and services. We may update these Terms from time to time. The "Last Updated" date at the top reflects the most recent revision; continued use of the website after a revision constitutes acceptance of the updated Terms.
